These Terms & Conditions ("Terms") govern your use of QuoteProSales, a quoting and invoicing platform operated by Quote Pro Sales ("Quote Pro Sales", "we", "us", "our"). By creating an account or continuing to use the service, you enter into a contract with Quote Pro Sales and agree to these Terms.

QuoteProSales lets you create quotes and invoices, manage contacts and clients, track follow-ups, record payments, and send documents to your customers. Features may vary by plan and may change over time.

You must provide accurate information and keep it up to date. You are responsible for keeping your account credentials confidential and for all activity under your account. If you use the service on behalf of a business, you confirm you have authority to bind that business, or that you are of legal age to contract if acting as an individual.

You must not misuse the service. In particular, you must not:

• Use the service for any unlawful purpose, fraud, or spam.
• Infringe intellectual property rights of any third party.
• Interfere with the security or integrity of the service, including introducing malware, probing, or scraping.
• Reverse engineer, resell, redistribute, or circumvent technical limits of the service.

Quote Pro Sales retains all ownership of the service and its intellectual property, including software, documentation, and branding. We grant you a limited, non-exclusive, non-transferable right to use the service within your selected plan. You retain ownership of the content you create (quotes, invoices, contacts); you grant us a limited license to host and process that content solely to provide the service.

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

Payment, billing, tax, cancellation, and refund mechanics are governed by Paddle's Buyer Terms. Subscriptions renew automatically at the selected billing frequency until cancelled. You can cancel at any time; access continues until the end of the paid period. See our Refund Policy.

We work hard to keep QuoteProSales available, but we do not guarantee uninterrupted or error-free performance. The service is provided "as is" and we disclaim all implied warranties (including merchantability and fitness for a particular purpose) to the fullest extent permitted by law.

To the fullest extent permitted by law, Quote Pro Sales is not liable for indirect, consequential, or special damages (including loss of profits, data, or goodwill). Our aggregate liability is capped at the fees you paid in the 12 months before the claim. Nothing in these Terms excludes liability for fraud, death, or personal injury where such exclusion is not permitted by law.

We may suspend or terminate your access for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. When your access ends, your data may be deleted after a reasonable export window.

You may not assign these Terms without our consent; we may assign them in connection with a merger or acquisition. We are not liable for delays caused by events beyond our reasonable control. These Terms are governed by the laws of the jurisdiction where Quote Pro Sales is established, and disputes will be resolved in its courts unless mandatory law provides otherwise.
